Terms & Conditions

Please read these Terms & Conditions carefully before engaging our services. By contacting us, submitting an enquiry or entering into a service engagement with Kairos Works, you confirm that you have read, understood and agree to be bound by these terms.
1. Definitions
In these Terms & Conditions, the following words carry the meanings set out below:
- "Agreement" means these Terms & Conditions together with any scope of work, proposal or engagement letter issued by Kairos Works.
- "Service" means the advisory, mentorship and go-to-market consulting engagements offered by Kairos Works, as described on our website and in individual proposals.
- "Client" / "You" / "Your" means the individual or organisation that engages Kairos Works for a Service.
- "We" / "Us" / "Our" means Kairos Works, a business advisory practice operating from Level 3, Sunway Geo Avenue, Jalan Lagoon Selatan, 47500 Subang Jaya, Selangor, Malaysia.
- "Content" means any documents, frameworks, materials or written outputs produced by Kairos Works during an engagement.
- "Website" means the Kairos Works website at kairosworks.cyou.
2. Acceptance of Terms
By submitting an enquiry through our website, signing a proposal, or making a payment for a Service, you confirm that:
- You are at least 18 years of age;
- You have the legal capacity and authority to enter into a binding agreement, whether on your own behalf or on behalf of your organisation;
- You agree to these Terms & Conditions in full.
If you are entering this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. These terms apply to all interactions with our website and all service engagements.
3. Service Description
Kairos Works provides early-stage startup advisory and go-to-market consulting to founders and small teams. Our current service offerings are:
- Founder Orientation Session — A focused short engagement to help a founder gain clarity on their idea, customer and immediate priorities. Scope: one to two weeks.
- Go-to-Market Plan — A structured engagement to develop a practical plan for bringing an early product to its first customers. Scope: three to five weeks.
- Founder Mentorship Companion — An ongoing advisory arrangement providing regular sessions, working notes and light support between meetings. Scope: three to six months.
The specific scope, deliverables and timeline for each engagement will be set out in a written proposal or engagement letter provided before work begins. Services are delivered primarily in Malaysia and remotely to clients elsewhere, subject to agreement.
4. Engagement & Scope
4.1 Scope of Work
Each engagement is governed by the scope described in the relevant proposal or engagement letter. Any request for work outside that scope will be discussed separately and may require a new agreement or additional fee.
4.2 Changes to Scope
Either party may request a change to the agreed scope in writing. Changes become effective only when both parties have confirmed them in writing. We reserve the right to adjust the timeline or fee if a scope change materially alters the work involved.
4.3 Client Participation
Many engagements require your active participation — including attending sessions, providing information and reviewing materials. We will make reasonable efforts to work around your availability, but delays caused by your non-participation may affect timelines.
5. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate, complete and current information when requested;
- Use the website and Content only for lawful purposes;
- Not copy, distribute or commercially exploit Content without our written permission;
- Not attempt to circumvent any security or access controls on the website;
- Not misrepresent your identity, organisation or intentions;
- Not use our services or website to facilitate any unlawful, misleading or harmful activity.
6. Intellectual Property
6.1 Our IP
All Content created by Kairos Works during an engagement — including frameworks, documents, plans and session notes — remains the intellectual property of Kairos Works until full payment has been received, at which point we grant you a non-exclusive, non-transferable licence to use that Content for your own business purposes.
6.2 Website Content
All text, graphics, design elements and materials on our website are owned by or licensed to Kairos Works. You may not reproduce, republish or distribute website content without our prior written consent.
6.3 Your Materials
Any materials you provide to us during an engagement remain your property. By sharing them, you grant us a limited licence to use them solely for the purpose of delivering the agreed Service.
7. Payment Terms
7.1 Fees
Fees are as stated in the relevant proposal and are quoted in Malaysian Ringgit (MYR). Current indicative fees are: Founder Orientation Session — RM 500; Go-to-Market Plan — RM 2,600; Founder Mentorship Companion — RM 4,500. Fees for custom or combined engagements will be quoted separately.
7.2 Payment Schedule
Unless otherwise agreed in writing, payment terms are as specified in the proposal. For ongoing engagements, fees may be invoiced in instalments as agreed. Full payment is required before work on a deliverable is released to you.
7.3 Payment Methods
We accept payment by bank transfer to our Malaysian bank account and by other methods as agreed. Details will be provided in the invoice.
7.4 Cancellation & Refunds
If you wish to discontinue an engagement, please notify us in writing as early as possible. Fees paid for work already completed or sessions already held are not refundable. We will discuss a fair arrangement for any fees paid in advance for work not yet begun. We do not offer unconditional refunds once work has commenced.
7.5 Late Payment
Invoices not settled within the agreed payment period may attract a late payment charge. We reserve the right to pause or suspend Services where invoices remain outstanding.
8. Confidentiality
Each party agrees to keep confidential any non-public information received from the other in connection with an engagement, and to use such information only for the purposes of the engagement. This obligation does not apply to information that is already publicly available, independently developed, or required to be disclosed by law or regulation. This confidentiality obligation survives the end of any engagement.
9. Disclaimers
Our Services are advisory in nature. We draw on experience and structured thinking to help you work through early-stage decisions, but we cannot and do not make specific commitments about business outcomes. In particular:
- We do not provide legally regulated professional services such as legal, financial, accounting or investment advice. If you need such advice, please consult the appropriate licensed professional.
- The results of your business will depend on many factors outside our control, including market conditions, your own execution and the decisions you make.
- Our website and Content are provided in good faith but without warranty of any kind — express or implied — as to their accuracy, completeness or fitness for a particular purpose.
10. Limitation of Liability
To the fullest extent permitted by Malaysian law, Kairos Works shall not be liable for any indirect, incidental, consequential or special loss or damage arising from your use of our website or your engagement with our Services, including but not limited to lost profits, lost revenue, or loss of business opportunity.
Our total liability to you in connection with any engagement shall not exceed the total fees paid by you for that engagement.
Nothing in these terms limits liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be limited under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Kairos Works, its principals and staff from and against any claims, losses, costs or liabilities (including reasonable legal fees) arising from: your breach of these Terms; your misuse of our website or Content; or your infringement of any third-party rights in connection with information or materials you provide to us.
12. Termination
12.1 Termination by You
You may terminate an engagement at any time by providing written notice. Fees for work completed up to the date of termination remain payable.
12.2 Termination by Us
We may terminate an engagement with written notice if: you materially breach these Terms and the breach is not remedied within 14 days of notice; outstanding invoices remain unpaid after reasonable notice; or continuing the engagement would, in our reasonable judgement, be impractical or inappropriate.
12.3 Survival
Clauses relating to intellectual property, confidentiality, limitation of liability, indemnification and dispute resolution will continue to apply after the end of any engagement.
13. Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of Malaysia. The courts of Malaysia shall have exclusive jurisdiction over any dispute arising under these terms.
Before commencing any formal proceedings, the parties agree to attempt to resolve disputes informally by contacting us at [email protected]. We will endeavour to respond and engage constructively within 14 business days.
If informal resolution is not achieved within 30 days, either party may refer the dispute to mediation administered by an agreed mediator or a recognised Malaysian mediation body, before pursuing any other remedy.
14. General Provisions
- Entire Agreement: These Terms, together with any applicable proposal or engagement letter, constitute the entire agreement between you and Kairos Works regarding your use of our Services and supersede all prior discussions on that subject.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
- Waiver: Failure by either party to enforce any right under these Terms does not constitute a waiver of that right.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor entity with reasonable notice to you.
- Notices: Formal notices under these Terms should be sent to [email protected] or to the address below.
15. Changes to Terms
We may update these Terms & Conditions from time to time. When we do, we will update the "Last Updated" date at the top of this page. We encourage you to review this page periodically. Continued use of our website or engagement of our Services after changes are posted constitutes acceptance of the revised terms. For existing engagements, material changes will be communicated directly.
